Terms of Service

Jurisly Technologies, Inc.

IMPORTANT: Please read these Terms carefully before using Jurisly. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms contain limitation of liability and disclaimer of warranty provisions that significantly affect your legal rights.

1. Definitions

Service” means the Jurisly platform, including the web application, APIs, and all related features and functionality.

User” means any individual who accesses or uses the Service.

Customer” means the organization or individual that subscribes to the Service under a paid or free plan.

Content” means any documents, data, text, or other materials uploaded to or generated by the Service.

AI Output” means any text, analysis, summary, extraction, or other content generated by the artificial intelligence components of the Service.

Account” means the registered user account through which you access the Service.

3. Eligibility and account

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. The Service is intended for professional use; it is not designed for or marketed to consumers in the personal capacity sense under consumer protection legislation.

3.2 Account creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials. You are responsible for all activity that occurs under your account. You must notify us immediately at security@jurisly.com of any unauthorized access.

3.3 One account per user

Each account may only be used by one individual. You may not share access credentials. Team accounts are managed through our multi-seat organization features.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:

  • Use the Service to provide legal advice, legal services, or legal representation to third parties, unless you are a licensed attorney using the Service as a productivity tool in your own professional practice.
  • Upload documents you do not have the legal right to process, including documents subject to privilege that you are not authorized to disclose.
  • Attempt to reverse-engineer, extract, or replicate the AI models underlying the Service.
  • Use the Service to process documents containing personal data of third parties unless you have obtained appropriate consents and legal authority under applicable privacy laws.
  • Attempt to circumvent rate limits, access controls, or subscription restrictions.
  • Engage in any activity that interferes with or disrupts the Service or the servers or networks connected to the Service.
  • Use automated tools to scrape, mine, or extract data from the Service beyond what is permitted by the API terms.
  • Misrepresent AI Outputs as the work of a licensed attorney.
  • Use the Service for any purpose that violates applicable law, including data protection laws, export control regulations, or sanctions.

5. Intellectual property

5.1 Jurisly ownership

The Service, including all software, models, features, designs, and documentation, is owned by Jurisly Technologies, Inc. or its licensors. These Terms do not grant you any ownership rights in the Service. “Jurisly” and associated marks are trademarks of Jurisly Technologies, Inc.

5.2 Customer content

You retain all rights to documents and data you upload to the Service. By uploading Content, you grant Jurisly a limited, non-exclusive, non-transferable license to process your Content solely to provide the Service. This license does not extend to using your Content for AI model training, marketing, or any purpose other than delivering the Service to you.

5.3 AI Output ownership

Subject to these Terms and applicable law, AI Outputs generated from your inputs are assigned to you. Jurisly makes no claim of ownership over AI Outputs generated from your Content. However, Jurisly does not warrant that AI Outputs are original, free from third-party IP claims, or suitable for any purpose. You are responsible for reviewing AI Outputs before use.

5.4 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant Jurisly a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service. You waive any moral rights in such feedback. Jurisly has no obligation to act on feedback.

6. Payment and billing

6.1 Subscription fees

Paid plans are billed in advance on a monthly or annual basis. All fees are stated in USD and are exclusive of applicable taxes. You are responsible for all taxes applicable to your use of the Service.

6.2 Free trial

Pro and Premium plans include a 14-day free trial. At the end of the trial, you will be automatically charged unless you cancel before the trial expires. No charge is made without prior notice of the upcoming billing date.

6.3 Refunds

Fees paid are non-refundable except: (a) where required by applicable consumer protection law; (b) where Jurisly has materially failed to provide the Service; or (c) within 7 days of initial subscription if the Service was not substantially as described. Refund requests must be submitted to billing@jurisly.com.

6.4 Price changes

We may change subscription prices with at least 30 days notice. Price changes take effect at the next renewal date. Continued use after the effective date constitutes acceptance.

7. Termination and suspension

7.1 Termination by you

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

7.2 Suspension by Jurisly

We may suspend your account immediately, without notice, if we have reason to believe you are: (a) violating these Terms; (b) using the Service in a manner that creates legal liability for Jurisly or third parties; (c) engaged in fraud or abusive behavior; or (d) using the Service in a manner that could harm other users or the infrastructure. We will attempt to notify you of the reason for suspension where legally permissible.

7.3 Termination by Jurisly

We may terminate your account upon 30 days written notice for any reason, or immediately for material breach of these Terms. Upon termination, you may export your data during the notice period. After account termination, data is retained for 30 days then permanently deleted.

7.4 Effect of termination

Upon termination, your license to use the Service ceases. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 2 (no legal advice), 5 (intellectual property), 8 (limitation of liability), 9 (disclaimer of warranties), and 12 (governing law).

8. Disclaimer of warranties

Important — read carefully

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

JURISLY DOES NOT WARRANT THAT: (A) AI OUTPUTS ARE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE; (B) THE SERVICE WILL MEET YOUR REQUIREMENTS; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF MALICIOUS COMPONENTS.

JURISLY EXPRESSLY DISCLAIMS ANY WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF AI-GENERATED LEGAL ANALYSIS. LEGAL ANALYSIS IS INHERENTLY UNCERTAIN, JURISDICTION-SPECIFIC, AND SUBJECT TO CHANGE. AI OUTPUTS MAY BE INCORRECT, OUTDATED, OR INAPPLICABLE TO YOUR SPECIFIC FACTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JURISLY AND ITS DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

IN NO EVENT SHALL JURISLY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO JURISLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, THE LIMITATIONS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

CRITICAL: JURISLY IS SPECIFICALLY NOT LIABLE FOR ANY LEGAL, FINANCIAL, OR BUSINESS DECISIONS MADE IN RELIANCE ON AI OUTPUTS, INCLUDING DECISIONS TO EXECUTE, REFUSE, OR NEGOTIATE ANY CONTRACT OR LEGAL AGREEMENT. THE USER ASSUMES FULL RESPONSIBILITY FOR ALL DECISIONS MADE BASED ON OR INFLUENCED BY AI OUTPUTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jurisly Technologies, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Content; (c) your violation of any applicable law or third-party rights; or (d) any claim that your use of the Service caused damage to a third party.

11. Force majeure

Jurisly shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, civil unrest, third-party infrastructure failures (including cloud provider outages), cyberattacks, or changes in applicable law. In such events, Jurisly will use commercially reasonable efforts to resume performance as soon as practicable.

12. Governing law and dispute resolution

12.1 Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. For users located in the European Union or United Kingdom, mandatory consumer protection laws of your jurisdiction of residence may apply.

12.2 Dispute resolution

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for a period of 30 days. Either party may initiate this process by providing written notice of the dispute.

12.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through negotiation shall be submitted to binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall be conducted in English. The arbitrator’s award shall be final and binding. This arbitration clause does not apply to EU/EEA/UK consumers who retain the right to bring claims in their local courts.

12.4 Class action waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. General provisions

13.1 Entire agreement

These Terms, together with the Privacy Policy and any applicable DPA or Order Form, constitute the entire agreement between you and Jurisly regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

13.3 No waiver

Failure by Jurisly to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Jurisly’s prior written consent. Jurisly may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
